Partner Program Terms

1. About these terms

These Partner Program Terms apply to businesses and people we have approved as BrandKit partners. They sit alongside our Terms of Use. If the two conflict on a partner matter, these terms apply.

The Partner Program is separate from BrandKit Rewards, the customer referral program described in our Referral Program Terms. Where a written agreement with you sets different terms, that agreement applies to the extent it differs.

2. Becoming a partner

You apply at brandkitcrm.com/partners. We review every application and approve partners at our discretion. Applying does not make you a partner, and nothing is approved automatically.

You do not need to be a paying BrandKit customer. You do need a BrandKit account, signed in with the email we approved, to get your partner link and dashboard and to connect payouts.

Your commission rate, commission period and the trial your referrals receive are your partner terms. They are shown in Settings → Referrals. Unless we agree otherwise, they are 20% of qualifying revenue for 12 months, with a 30-day trial for the businesses you introduce.

3. Qualifying referrals

A referral counts when a new business creates a new BrandKit workspace, as the owner of that workspace, within 30 days of first opening your partner link. The first referral link a business uses is the one that is credited.

Existing and returning customers, teammates joining an existing workspace, businesses already referred by someone else, and you, your own business or any workspace you own, control or share an owner with do not count.

4. What the businesses you introduce get

A business referred through your link gets the free trial in your partner terms (30 days unless we agree otherwise) instead of the standard trial. It applies to new workspaces only. Do not promise any other discount, price or feature.

5. Your commission

For each qualifying referral, you earn your commission rate on the qualifying revenue of every paid invoice during its commission period. The commission period starts with the first paid subscription invoice for that business and lasts for the number of months in your partner terms, measured by the subscription time each invoice pays for. An annual plan paid within the period earns commission on the full payment.

Terms are fixed per referral. The partner terms in effect when a business signs up through your link apply to that business for its whole commission period. If your rate or period changes later, the change applies to businesses referred after it. Commission already earned is never recalculated.

Partner referrals earn commission only. The one-off referral reward and milestone rewards of BrandKit Rewards do not apply to them.

6. Qualifying revenue

Qualifying revenue is what the referred business actually pays for its Portals, Starter or Growth base subscription, after discounts and credits. It does not include:

• tax, including GST, VAT and sales tax;
• extra users or seats, add-ons, usage charges, merchandise or one-off services;
• free plans, free trials or zero-value invoices;
• any amount refunded, disputed, voided or written off.

When a business upgrades, downgrades or changes plan, commission follows what it actually pays: credits for unused time are netted off, and an invoice with nothing left to pay earns nothing.

7. Referrals made before you became a partner

Businesses you referred through BrandKit Rewards before your partner terms started stay under the Referral Program Terms they were referred under, including the one-off referral reward, even if they start paying after you become a partner. Only businesses that sign up through your link on or after the start of your partner terms earn partner commission. We may agree in writing to treat specific referrals differently.

8. Holding period and payouts

Each commission is held for 45 days from the paid invoice that created it, so refunds, chargebacks and fraud checks can settle. It is then available for payout.

Payouts are made through Stripe. You need to complete Stripe's onboarding, including any identity checks, before you can be paid; BrandKit does not receive or store your bank details. Available commission is transferred automatically once it reaches 50 in a currency. Commission is earned in the currency the referred business pays in; currencies are kept and paid separately and are never converted by us. You are responsible for any tax on your commission, including registering for and accounting for GST or similar taxes where required.

9. Refunds, reversals and cancellations

If an invoice is refunded, in full or in part, or is disputed, voided or written off, the commission on that entire invoice is reversed. If it was already paid out, the amount is deducted from your future commission.

If a referred business cancels, you earn no commission on later periods. Commission on invoices it has already paid is kept, subject to the paragraph above. If it resubscribes within its commission period, commission resumes until the period ends.

10. Pausing or ending a partnership

You can leave the Partner Program at any time by telling us. We can end or deactivate a partnership, or set an end date, with 30 days' notice. Once a partnership ends or reaches its end date:

• businesses you already referred keep earning you commission for the rest of their commission period;
• new businesses that sign up through your link are treated under the Referral Program Terms, not as partner referrals, and receive the standard referral trial.

If we reasonably believe a referral or your account involves fraud, self-dealing or a breach of these terms, we may pause your payouts and hold your commission while we investigate, reverse or withhold the related commission, or end your partnership without notice. We will tell you when we do.

11. How you promote BrandKit

Promote BrandKit honestly. You must:

• make clear, where the law or platform rules require it, that you receive commission for referrals;
• only contact people who have agreed to hear from you, and follow anti-spam and privacy laws.

You must not:

• bid on BrandKit brand terms in paid search, or run ads that could be mistaken for BrandKit's own;
• claim to be BrandKit or to speak for us, or promise discounts, features or terms we do not offer;
• post your link on coupon, deal or cashback sites.

12. Our relationship

You are an independent business. Nothing in these terms makes you our employee, agent or joint venturer, and you cannot enter into agreements on BrandKit's behalf. We do not share referred businesses' account data with you beyond what your partner dashboard shows.

13. Changes to these terms

We may change these terms or end the Partner Program with 30 days' notice. Changes never reduce commission already earned, and changes to commission rates or periods apply only to businesses referred after they take effect. If we end the program, available commission that meets the payout minimum will still be paid, and commission on existing referrals will be handled as in section 10.
